Serious question though:

If the company is under a different name and they are different circuits (which they might or might not be, only time will tell), is this really that big a deal? Just trying to understand the whole situation.

The point of the non-competition agreement isn't about copyrights or patents. If E13 is in direct competition with DeviCraft, it takes a portion of the market and cuts into potential sales for DeviCraft which results in losing money. Under normal circumstances this is just the way the market works, but Devi has made an agreement not to enter the same market in exchange for a monetary payout included in the sale of her brand that she has already received. If she had refused to sign a non-competition agreement initially, her brand would have been worth much less money.

Yea, it is.

Part of what was purchased/licensed was the ability to sell items under that brand.

In this case, it came with a name.

And former person DBA that name is doing so again.

It's even more murky since so many of the original E13 stuffs got folded into the DE line later.

Guess doing Godzilla eats Woodstock 8 bit wasn't as profitable as planned and all bets are off.

And I used to use Bad Lieutenant to test potential bandmates for squick factor.

That and "I come in peace", a forgotten Dolph Lundgren movie where he saves the world from a vicious alien compact disc. That one, to see their reaction to the high cheese/potential laugh factor.

Bad Lieutenant is the Shizz...i broke up with one of my girl friends cause she wanted to have a movie night...at the video shop (yes Video...Im that old) she said..."I know you have weird taste in movies...so why dont you pick something you really like"...half way throug the movie, fight ensued and that relationship was put down like terminally sick dog...but just less emotional.

Yo Summit...you should get camera's in your pace and stream the ILFNEM on youtube...

BTW...I love how this thread has turned out...

Yea, we saw it on video because at the time the in-joke in the band was renting *every* film in the video store. And watching all the way though every film.

We only didn't make it through one.

"American Autobahn" - about 15 minutes in, I looked longingly at the gun on the couch and we all agreed it was time to stop that shit.

We made it through some *truly* godawful films. Found some cool shit too, but....it was a different time.

If she signed a contract stating that she would no longer build and sell pedals, that would seem to be short-sighted on her part IMO,. She has been building pedals for something like 15 years, and it's something that she's good at, and she can make money doing it. What was the thought process there... 'fuck the pedal business, I never want to do THAT again"... apparently, not very realistic.

Maybe there's another aspect of the business she can get involved in, which wouldn't violate a non-compete agreement (amp building, guitar building, weird instrument building).

I'm assuming that the difficulties of enforcing a non-compete agreement with someone out of state etc were weighed against any royalties coming in, and #yoloswagdoingpedalsagain won out.
